User Agreement

This User Agreement ("Agreement") governs your use of our website and services ("Site"). By accessing or using the Site, or clicking “Free Premium Sign Up” or similar, registering, accessing or using our services (described below), you are agreeing to enter into a legally binding contract with MQL Data,. If you do not agree with the terms and conditions of this Agreement, please do not use the Site. 
We are not the creator of the information and the same has been generated from the available public sources. This Site has been created for convenience and we do not act as the authorised agents on behalf of the public sources from where the information has been retrieved or the concerned whose information are being made available. Any access to this site or usage of information shall be solely at your risk. And you shall be solely liable for privacy violations of any concerned if any. 

Use of the Site

By using the Site, you represent and warrant that you are at least 18 years old or accessing the Site under the supervision of a parent or guardian. You agree to use the Site only for lawful purposes and in accordance with this Agreement and all rules and regulations set forth under the Site.
When exploring MQL data, you may encounter links to external websites with their own terms of use. By accessing these sites, you agree to abide by their specific terms, which may differ from ours. In case of conflicting terms, the external site's terms will take precedence for your use of their page. We shall not be held accountable for any of the data that you access of the external websites. The same shall be solely at your risks and consequences.

Services

This user agreement applies to the services provided in https://mqldata.com/ including the offsite collection of data for those Services, such as our ads and the “Sign Up with MQL Data” and “Share with MQL Data” plugins. Registered users of our Services are “Members” and unregistered users are “Visitors”.

Account Registration

• Provide accurate, current, and complete information during the registration process.
• Maintain the security of your password and accept all risks of unauthorized access to your account and the information you provide.
• Notify us immediately of any unauthorized use of your account.

Prohibited Activities

• Use the Site for any illegal or unauthorized purpose.
• Engage in any activity that interferes with or disrupts the Site.
• Attempt to gain unauthorized access to any portion of the Site.
• Use the Site to transmit any harmful, threatening, abusive, or otherwise objectionable content.
• Infringe on the intellectual property rights of others, including unauthorized use of copyrights, patents, trademarks, trade secrets, or other exclusive rights.
• Access, store, display, or facilitate the transfer of any content obtained through the following methods: scraping, crawling, spidering or using any other technology or software to access the content of the Site, either the information is obtained directly or indirectly through a third party, such as a customer or third party developer. 

Content Ownership

All content on the Site, including text, graphics, logos, images, and software, is the property of MQL Data or its content suppliers is protected by copyright, trademark, and other laws except the information that is publicly available for which the prevailing laws shall be made applicable. You agree not to reproduce, distribute, or create derivative works from any content on the Site without our express written permission.

User-Generated Content

You may be able to submit content to the Site, such as comments, reviews, or other materials ("User Content"). By submitting User Content, you grant MQL Data a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, publish, and distribute the User Content in any form, media, or technology.

• You own or have the necessary rights to submit the User Content.
• The User Content does not infringe any third-party rights, including intellectual property rights and privacy rights as applicable.
• The User Content does not violate any laws or regulations.

Consent and Data Usage Rights

• By creating an account and using our services, you grant us full and unrestricted consent to collect, store, process, and utilise all information provided by or collected about you through our website, in accordance with our stated policies.
• You acknowledge that we have complete authority and access to all information about you on our platform and agree that we may use this information as described in our Privacy Policy and Terms of Service.
• You understand and agree that by accepting this User Agreement and associated policies at the time of account creation or service use, you waive the right to raise future objections regarding our collection, storage, or use of their data as outlined in our policies.
• If you do not agree to grant us these rights and authorities over your data, you can decline to create an account or using our services.

Termination

We reserve the right to terminate or suspend your account and access to the Site at our sole discretion, without notice and for any reason, including if we believe you have violated this Agreement.
You may terminate this agreement anytime by closing your account and ceasing use of our Services.

Disclaimers

The Site and its content are provided on an "as-is" and "as-available" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the Site or the information, content, or materials included on the Site. You expressly agree that your use of the Site is at your sole risk
By using our site, you understand and agree that MQL Data is an intermediary platform that facilitates access to public information, and we do not own or claim intellectual property rights to the content provided on our site.
By agreeing to the terms and conditions of this site, you acknowledge the fact that this Site is not acting as an authorised agent of the sources that you will be routed through and is making the information available and convenient for reference from easily accessible public sources. Hence, the role of this site may not be construed as that of the principal-agent with that of the external site or sources. 
By accessing the Site, you acknowledge to comply with Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

Limitation of Liability

To the fullest extent permitted by law, MQL Data shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Site or this Agreement, whether based on contract, tort, negligence, strict liability, or otherwise.

Indemnification

You agree to indemnify, defend, and hold harmless MQL Data, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Site or your violation of this Agreement.

Any complaint by the user may be addressed to the Grievance Redressal officer. In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the rules thereunder, the name and contact details of the grievance officer are provided below:

Governing Law and Dispute Resolution

• Governing Law: This Agreement, the construction and enforcement of its terms and the interpretation of the rights and duties of the Parties hereto shall be governed by the laws of India and shall be subject to the exclusive jurisdiction of courts in New Delhi.
• Dispute Resolution: If a dispute arises from or relates to this Agreement or the use of the MQL Data site, please contact MQL Data to initiate a resolution process by entering into binding mediation and if any such dispute is not resolved within 15 days following the failure of the mediation, the dispute shall be referred to arbitration governed by the provisions of Arbitration and Conciliation Act, 1996 (including the amendments thereto) whereby the Parties shall mutually appoint a sole arbitrator for arbitration proceedings. The seat of Arbitration shall be Delhi and the venue of the Arbitration shall be New Delhi and the language of arbitration shall be English.  If the Parties are not able to agree on a sole arbitrator, either of the Parties shall be entitled to approach the Court for the appointment of the arbitrator in terms of the Arbitration and Conciliation Act, 1996 (including the amendments thereto).
  

General Terms

• Entire Agreement: These Terms constitute the entire agreement between you and MQL Data regarding your use of the Site and supersede all prior agreements and understandings.
• Severability: Should any part of this Agreement, be declared illegal or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Any failure by MQL Data to enforce any right or provision of these agreement will not constitute a waiver of such right or provision.

Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of any changes by updating the "Last Updated" date of this Agreement. Your continued use of the Site after any such changes constitutes your acceptance of the new Agreement. You shall continue to bind yourself to the new and modified terms and conditions therefrom.
